1. Scope

Business-to-business sales only. By ordering, the Buyer confirms it acts for business purposes.

2. How a contract forms

"Request a quote" or a proforma invoice is not a binding contract.

A contract is formed only when payment is received (prepayment or online "Pay now"). After that we prepare and ship.

Proforma validity: 14 days (unless otherwise stated). Unpaid proformas auto-cancel after expiry.

3. Prices, taxes, ADR

Prices in EUR, exclusive of VAT unless stated. VAT is applied per applicable rules. ADR surcharge applies only to pallets that contain ADR products.

4. Delivery, risk, unloading

Two delivery modes:

A. We arrange carriage → CPT [Buyer's address], Incoterms® 2020
We pay carriage to destination. Risk passes to the Buyer when the goods are handed to the first carrier at our warehouse. Unloading at destination is not our obligation.

B. Buyer pickup / Buyer's carrier → FCA [our warehouse], Incoterms® 2020
Risk passes when we hand the goods to the Buyer's nominated carrier at our warehouse. If expressly agreed EXW, loading is the Buyer's responsibility and risk from pickup.

We will reasonably assist in carrier issue resolution, but we are not liable for delays or loss after risk has passed. Partial shipments may be used.

Receipt & claims: Any loss/shortage/damage must be noted on the CMR/delivery note upon receipt and notified to us without delay (recommended within 48 hours).

5. Title and payment

Prepayment only. Title transfers after full payment is received. If payment is not received, we do not process or ship.

6. Returns, exchanges

Our error / non-conformity to specification: we replace or refund (at our cost).

Buyer's wrong selection: exchanges possible by agreement; items must be unopened/sealed; return shipping at Buyer's cost; new shipping charged separately.

ADR returns only by prior written agreement due to safety rules.

7. Product conformity (oils)

Oils are supplied per label/specification/batch certificate. For alleged non-conformity, provide reasonable evidence; remedy is repair/replacement or proportional refund.

8. Liability

We are not liable for indirect or consequential losses (e.g., lost profit, production downtime). Our aggregate liability for any order is capped at the price paid for that order, except where liability cannot be limited by law.

Force majeure suspends obligations for the duration of the event.

9. Third-party services

Address search and maps are provided by Google "as is". Use of analytics (if you opt in) is described in our Privacy Notice.

10. Governing law, disputes, language

This contract is governed by Estonian law; the CISG is excluded. Disputes are subject to the courts of Pärnu, Estonia.

The English version prevails; Finnish translation (if provided) is for convenience.

11. Changes

We may update these Terms; the current version and date appear above.
